A Texas LLC begins with a Certificate of Formation, filed with the Texas Secretary of State. The state filing fee is $300.
By default, an LLC’s debts belong to the company, not to you. It is a default the law starts with, not a promise.
Texas calls the operating agreement a company agreement. It sets who decides what, and it holds even for a company of one.
Doing business under another name means filing an assumed name certificate with the Secretary of State. Every Texas company keeps a registered agent at a real Texas street address.
